TERMS AND CONDITIONS


Welcome to the BRICS Africa Trade Centre (http://www.bricsatc.com) and Xtendevent service modules. (The "Services"). Further information on the Xtendevent services are available at http://www.xtendevent.com. The following sets forth the terms and conditions for use of Services at the BRICS Africa Trade Centre (the "Site") and also the ("Agreement") between you and South African Trade Promotions (Pty) Ltd ("SATP"); the Owner of the Sites, under which SATP offers you access to the Services through the Sites identified by the uniform resource locators http://www.bricsafrica.com, http://www.bricsatc.com and http://www.xtendevent.com.

Your Agreement is with SATP. Use of any of Services indicates that you accept the terms and conditions set forth below. If you do not accept all of the terms and conditions, please do not use any of the Services. By completing any of the Services registration processes, you indicate your consent to be bound by this Agreement. This Agreement takes effect upon your registration to use any single or multiple service types offered at http://www.bricsafrica.comhttp://www.bricsatc.com and http://www.xtendevent.com.

1. REGISTRATION AND SERVICES

Services, unless otherwise indicated, are offered free-of-charge in accordance with the terms of this Agreement. SATP and the Sites allow you to join and once registered, to edit and display business and personal details across the Site and Services.

The Site will issue the User an ID and Password to access the Services. Passwords may be auto-generated for Users or chosen by Users during registration. Each User is solely responsible for maintaining the confidentiality of its Password for all activities that occur under the Member's email ID and Password. Any User may register for different events and in differing capacities.

The Member ID and Password is unique to a single Account. No Member can share, assign or permit the use of its Account, Member ID or Password to another person outside of the Member's registered business. Each Member acknowledges that sharing of its Account with other persons will cause irreparable harm to SATP. Each Member indemnifies SATP and the Site against any loss or damages, including but not limited to loss of profits, suffered as a result of such multiple use of an Account and undertakes to notify SATP immediately of any unauthorized use of its Account, Member ID or Password or any other breach of security.

Each Member agrees that SATP may incur loss and or damages arising from the Member's failure to comply with these terms.

2. MEMBER SERVICES

Benefits, features and functions available to a Member may vary for different countries and regions. No warranty or representation is given that a particular feature or function or the same type and extent of features and functions will be available.

The availability of any transactional features and functions on the Site to any Member may be conditional on verification of Member's identity and/or its designated bank account by the Site and/or SATP approved independent third parties.

3. PREMIUM SERVICES

Remote Exhibitor, Remote Visitor, Buyer's Directory Advertiser and other premium services are charged for at displayed prices and may be amended from time to time at SATP's sole discretion,

4. MEMBER USE OF SITE

Members may only use this site to browse content, to download applications for legitimate business purposes and to make legitimate communications and purchases and shall not use this site for any other purposes, including without limitation, to make any illegal, speculative, false or fraudulent communications, offers or purchases. This site and the content provided in this site may not be copied, reproduced, republished, uploaded, posted, transmitted or distributed. 'Deep-linking', 'embedding' or using analogous technology is strictly prohibited. Unauthorized use of this site and/or the materials contained on this site may violate applicable copyright, trademark or other intellectual property laws or other laws.

Each Member agrees to provide true, accurate and current information and grants an irrevocable, perpetual, worldwide and royalty-free license to the SATP to display and use all information in accordance with this Agreement and to exercise copyright, publicity and database rights in such material or information, in any media now known or not currently known.

5. THE INFORMATION WE COLLECT AND USE

The kind of information we collect is typically provided when users register, purchase products or participate on events, in competitions, polls or surveys. This personally identifiable information includes the users name, e-mail address, telephone number, business address, shipping address, preferred means of communication and other information voluntarily provided. We also collect information about site usage, as web page visits and traffic patterns. SATP, our service providers and our resellers may use any information collected by users: to operate the Service; to effect users' transactions; to provide better services, products and opportunities to users; to notify users about services, products and opportunities that may be of interest to such users; to create and share reports about users' transactions; and for other marketing purposes. Other than to render services as requested by you, SATP will never share your personally identifiable information with suppliers, buyers and or any other third parties as may be the case.

6. MEMBER RESTRICTIONS

No Member shall:

Misrepresent themself or impersonate any person or entity or be part of any scheme to defraud other Members or other users of the Site or for any other unlawful purpose;

Infringe or otherwise abet or encourage the infringement or violation of any third party's copyright, patent, trademarks, trade secret or other proprietary right or rights of publicity and privacy or other legitimate rights;

Violate any applicable law, statute, ordinance or regulation; including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising;

Display information that is defamatory, libelous, unlawfully threatening or unlawfully harassing; obscene or contain or infer any pornography or sex-related merchandising or any other content or otherwise promotes sexually explicit materials or is otherwise harmful to minors;

Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;

Display any material that constitutes unauthorized advertising or harassment; including but not limited to spamming, invades anyone's privacy or encourages conduct that would constitute a criminal offence, give rise to civil liability, or otherwise violate any law or regulation;

Attempt to copy, reproduce, exploit or expropriate the Sites various proprietary directories, databases and listings;

Participate in any scheme to undermine the integrity of the computer systems or networks used by the Site and/or any user of the Service and no Member shall attempt to gain unauthorized access to such computer systems or networks;

Link directly or indirectly to or include descriptions of goods or services or other materials that violate any law or regulation or is prohibited under this Agreement and Terms of Use; or otherwise create any liability for the Site or its affiliates

7. OUR RIGHTS

From time to time and at the sole discretion of SATP, the Service may be added to or modified, or suspended for scheduled or unscheduled maintenance purposes. SATP and the Site may suspend or terminate all or any free benefits, at any time in its sole discretion and reserve the right to charge for services or any feature or functionality of the Site at any time. You confirm that we shall not be liable to you or any third party for any modification to or withdrawal of the Site and that;

SATP may change these Conditions from time to time and your continued use of the Site (or any part of) following such change shall be deemed to be your acceptance of such change. It is your responsibility to check regularly to determine whether the Conditions have been changed. If you do not agree to any change to the Conditions then you must immediately stop using the Site.

We will use our reasonable endeavors to maintain the Site. You will not be eligible for any compensation because you cannot use any part of the Website or because of a failure, suspension or withdrawal of all or part of the Site due to circumstances beyond our control.

8. PRIVACY POLICY

We are committed to protecting your privacy. This privacy policy applies to all the web pages on this Site.

All the information gathered from forms on the Site is used to personally identify users that subscribe to the Sites services. The information will not be used for anything other than stated this Agreement.

The Site may collect certain information about your visit, such as the name of the Internet service provider and the Internet Protocol (IP) address through which you access the Internet; the date and time you access the Site; the pages that you access while at the Site and the Internet address of the Web site from which you linked directly to our site. This information is used to report services and help improve the Site, analyze trends, and administer the Site.

By registering to attend an event presented on the Site, you are agreeing to the collection of any and all data that is requested by the Organizer of that event. Additional information may be collected by Xtendevent.com and the virtual event Organizer based on the personal information or content that you voluntarily upload or otherwise disclose, including but not limited to information disclosed in messages and chat areas, content within your profile pages, or images or other content you make available. Content becomes publicly available and may be viewed or used by others. In addition, if you have logged into your account with any social networking website, or other third party website while attending a virtual event, any content you provide may become available to such third party providers and may be available to users of such third party provider's services.

During a virtual event, you may have the opportunity to visit other User websites provided by the Organizer. Users may include event participants as Exhibitors, Visitors, Speakers, Companies, Advertisers and other user sites. These websites may include but are not limited to User websites, social networking sites, or payment authorization websites. SATP Privacy Policy does not apply to any of these third party or service provider websites as we cannot control the activities of these. You should consult the respective privacy policies of such Third Parties for their opt-out information.

You will have the opportunity to purchase participation as a Remote Exhibitor and or Visitor to an event and access to virtual conferences and products offered by Exhibitors or Companies within the Site. These transactions are processed by a third party such as Virtual Card Services and or PayPal. The Site does not collect or store payment information. Payment information may be collected by the Organizer and/or third parties to the extent necessary to carry out any transaction you request. Please refer to such parties' privacy policies.

You agree that SATP may use your personal information to operate, maintain and improve services that provide you with the general and personalized features and functionality of the services available at the BRICSAfrica Trade Centre platform; including but not limited to, content tracking activity and responding to your correspondence. Your user details may also be displayed to other online event attendees when you visit certain areas of the Site and when you chat, exchange business cards information or send messages from the Site.

We may need to change this policy from time to time in order to address new issues and reflect changes on our Site. We will post those changes here so that you will always know what information we gather, how we might use that information, and whether we will disclose that information to anyone. Please refer back to this Agreement regularly. If you have any questions or concerns about our privacy policy, please send us an e-mail.

By using this website, you signify your acceptance of our Privacy Policy. If you do not agree to this policy, please do not use our Site or any Services offered from the Site. Your continued use of the Site following the posting of changes to these terms will mean that you accept those changes.

9. MINORS

Minors (individuals below the age of 18) are not eligible to use the Service and no portion of the Service is directed towards minors. We do not knowingly solicit any information about minors or market to minors.

10. DATA INTEGRITY

While the Site makes no warranties with regard to the accuracy, completeness of any information, SATP does take reasonable steps to ensure that data is reliable, accurate, complete and current and that personal information is relevant for the purposes for which it is to be used.

11. COOKIE/TRACKING TECHNOLOGY

The Site may use cookie and tracking technology depending on the features offered. Cookie and tracking technology are useful for gathering information such as browser type and operating system, tracking the number of visitors to the Site, and understanding how visitors use the Site. Cookies can also help customize the Site for visitors. Personal information cannot be collected via cookies and other tracking technology; however, if you previously provided personally identifiable information, cookies may be tied to such information. Aggregate cookie and tracking information may be shared with third parties.

12. THIRD PARTY LINKS

In an attempt to provide increased value to our Users, we may provide links to other websites or resources. You acknowledge and agree that we are not responsible for the availability of such external sites or resources, and do not endorse and are not responsible or liable, directly or indirectly, for the privacy practices or the content (including misrepresentative or defamatory content) of such websites, including (without limitation) any advertising, products or other materials or services on or available from such websites or resources, nor for any damage, loss or offence caused or alleged to be caused by, or in connection with, the use of or reliance on any such content, goods or services available on such external sites or resources.

13. DELIVERY POLICY

When you click to make a purchase with us legal obligations arise and your right to a refund of monies charged to your credit card or paid in any other way agreed by us, are limited by this Agreement. You must not make any purchase through this site unless you understand and agree to all our Terms and Conditions of Use. Once payment is made for the purchase, it is deemed that you have read and understood the terms and conditions for such purchase. If you have any queries please contact us before making any purchase for any service through this Site.

Order processing will not begin until we receive a confirmed order and full payment.

14. REFUND POLICY

Our digital products cannot be returned. SATP offer fully functional online demonstrations that permit our customers to assess Services offered before purchase. For this reason, we offer no refunds as a matter of policy.

On the basis of merit and at our sole discretion, exceptions can be made under special circumstances.

16. PAYMENT OPTIONS AND PRICING

All transactions will be processed in South African Rand (ZAR). SATP endeavors to offer you competitive prices on our products; your total order price will include the price of the purchase plus any applicable sales tax.

SATP reserves the right to change pricing at any time without prior notice.

Credit Card

We accept MasterCard and Visa credit cards. If you do not have a credit card please utilize one of the other payment options, or simply log off and return to the site at a later time to complete your order. All of your order details will be saved online in Your Account section.

EFT (Electronic Fund Transfer)

This is one of the most widely used ways of sending money online. Once you proceed to "Checkout", follow the order processing instructions and select the option to pay via EFT. You then proceed to internet banking and make a one-time payment or load SATP as a beneficiary. Please use the unique order number in the reference line for your payment. This should ensure speedy processing and activation of your selected products.

Direct Deposit

You may pay for your products through a direct deposit. It's exactly the same as doing an EFT payment, except you'll have to go into your bank and physically make your direct deposit there. Please fax through your deposit slip to us on +27(0) 86 5100062 to ensure your payment is confirmed and order shipped as quickly as possible.

17. SECURITY POLICY

Virtual Card Services process all credit card transactions. All credit card transactions are 128 bit Secure Socket Layers (SSL) encrypted. The company registration documents and the site's registered domain name are checked and verified by Thawte, ensuring the cardholder and merchant that nobody can impersonate VCS to obtain confidential information.

Virtual Card Services is committed to providing secure online services. All encryption complies with international standards. Encryption is used to protect the transmission of personal information when completing online transactions. Virtual Card Services Internet servers are protected by firewalls and intrusion detection systems.

The Merchant does not have access to credit details.

Virtual Card Services continually reviews and enhances its security in line with technological changes.

18. MONITORING

We have the right, but not the obligation, to monitor any activity and content associated with the Website. We may investigate any reported violation of these Conditions or complaints and take any action that we deem appropriate that may include, but is not limited to, issuing warnings, suspending, terminating or attaching conditions to your access and/or removing any content from the Site.

19. DISCLOSURE REQUIRED BY LAW.

We will, at our discretion, disclose any information to legal authorities if we believe that we are required to do so by law, or that it will protect us from legal liability or protect the integrity of the Site and our services and will cooperate with authorities in identifying those who use the Site and services for illegal activities.

20. LAW.

These Terms and Conditions will be exclusively governed by and construed in accordance with the laws of South Africa whose Courts will have exclusive jurisdiction in any dispute, save that SATP can, at our sole discretion, commence and pursue proceedings in alternative jurisdictions.

21. UPDATING THESE TERMS AND CONDITIONS

We reserve the right to change, modify, add to or remove from portions or the whole of these Terms and Conditions from time to time. Changes to these Terms and Conditions will become effective upon such changes being posted to this Site. It is the User's obligation to periodically check these Terms and Conditions at the Site for changes or updates. The User's continued use of this Site following the posting of changes or updates will be considered notice of the User's acceptance to abide by and be bound by these Terms and Conditions, including such changes or updates.

22. CONSENT

You agree that all designs and trademarks of the Site are registered to SATP and or to Site Users and you hereby accept the terms and conditions of Use of the Site. You undertake not to copy/duplicate the trademarks and designs directly or indirectly in anyway and understand the legal implications thereof. Should you be found to be in violation of this Agreement you understand that you will be held liable for all legal costs incurred by SATP for any civil or any other legal action deemed necessary.
